Terms of Service

General terms for our services. Last updated: November 1, 2026.

These general terms apply to services provided under the brand Osmanth China Business Services (“OSMANTH”, “we”) by 广西阳贝企业咨询管理有限公司 (Guangxi Yangbei Enterprise Consulting Management Co., Ltd., Unified Social Credit Code 91450100MA5QBRQL0Y), Nanning, Guangxi, China. The written quote and statement of work you confirm for a specific task set its scope, method, timeline, deliverables and fee, and form part of these terms for that task.

1. Scope of our services

We provide local verification, communication, coordination, site visits and similar practical business assignments in China, as described in the written quote you confirm. There is no automatic online payment. The process is: you submit a request → we assess it → we send a written quote → you confirm → you pay → we carry out the work → we deliver. Submitting a request does not create an agreement. Work outside the confirmed scope needs a new or amended written quote.

2. What our reports mean

Findings are labeled Independently Verified, Supplier Stated, Not Verified or Observed remotely. A report reflects the information available at the time of the checks. It is not a certification, legal opinion, credit rating or accredited inspection, and it is not a guarantee of a supplier’s capability, financial soundness, product quality or honesty.

3. Limitation of liability — due diligence, not a guarantee

Our service is due diligence, not a guarantee. We carry out the agreed checks carefully and report honestly what we find. Our fee pays for that work. It is not insurance against the outcome of your business or your supplier’s conduct.

  • Findings are a snapshot. Our findings reflect what was observable or verifiable at the time of our checks, using the documents, access and information provided to us or publicly available. Facts can change after our check.
  • We cannot detect every deception. A party that sets out to deceive, for example with falsified documents, a staged or borrowed site, or hired people posing as staff, may not be detectable through reasonable diligence. We do not guarantee against intentional fraud or misrepresentation by others.
  • No guarantee of supplier results. We do not guarantee any supplier’s or partner’s performance, product quality, delivery, honesty or financial soundness, or the safety of any payment you make.
  • Your decisions stay yours. Whether to contract, pay, ship or proceed is always your decision. Our reports are information to support that decision, not an assurance of any outcome.
  • We do not handle your funds. We do not receive, hold or transfer money for goods. You pay suppliers and partners directly.
  • Supplier disputes are between you and the supplier. We are not a party to your contracts with suppliers or partners and are not responsible for disputes, losses or claims between you and them.
  • Liability cap. To the extent permitted by applicable law, our total liability for any claim connected with a service is limited to the fee you paid us for that specific service.
  • No indirect losses. We are not liable for indirect or consequential losses, including lost profits or business, deposits or other payments made to suppliers, product defects, recalls, delays, or claims by third parties.

If an error in our work is ours, we re-check the affected item at our own cost. That re-check, and any liability within the cap above, is the full extent of our responsibility.

4. Your responsibilities

  • Give us accurate, complete information and documents, and tell us promptly about anything that changes.
  • Use our services only for lawful purposes, and get any permissions that are yours to obtain.
  • Make your own business, contracting and payment decisions, and carry out any further checks you consider necessary before you pay or ship.
  • Pay suppliers and partners directly, and manage your contracts and any disputes with them.
  • Use our reports for your own business. They are prepared for you only, and no other person may rely on them.

5. Your relationship with suppliers

You contract and pay your suppliers and partners directly. We are not a party to those transactions and do not handle payments for goods.

6. Not a legal agent or broker

We are not your legal agent, attorney or broker, and we do not give legal, tax or customs advice. We do not sign, commit or pay on your behalf unless you authorize a specific action in writing.

7. Access and permissions

Site visits, filming and interviews depend on permission from the site. If access is refused or limited, we report what we could and could not do.

8. Independence

We do not accept commissions, referral fees or gifts from suppliers, and we disclose any relationship with a party in your task before work begins.

9. Confidentiality

We keep your task information confidential and use it only for your task. Client files are never shown publicly, never used for marketing, and never uploaded to unapproved third-party AI services. See our Privacy Policy.

10. Fees and payment

Fees, payment method and payment timing are stated in the written quote you confirm.

11. Lawful tasks only

We may decline any request. We do not take on unlawful tasks, tasks that require a license we do not hold, or tasks involving private data, impersonation or covert recording.

12. Language

These terms are written in English. If they are translated into another language, the English version controls.

13. Questions
